1) Agreement to Terms
By accessing or using the Caliagua web application (the “Service”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Service.
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your information.
2) Business Use Only
The Service is intended for business-to-business use by subcontractors, vendors, and other professional partners. You represent that you are using the Service on behalf of a business entity or in a professional capacity.
3) Account Access and Approval
Access may be restricted based on company approval status, email domain approval, or other verification methods. Users may be able to create an account, but access beyond limited areas may require approval by Caliagua.
You are responsible for ensuring the accuracy of information you submit and for maintaining the confidentiality of your email account used to receive verification codes.
4) OTP Authentication
The Service uses one-time passcodes (OTPs) delivered by email to authenticate users. You are responsible for:
- securing your email account
- not sharing verification codes
- promptly notifying us of suspected unauthorized access
Caliagua is not responsible for access gained through compromise of your email account or your failure to protect verification codes.
5) Acceptable Use
You agree not to:
- access or attempt to access systems or data you are not authorized to access
- scrape, crawl, or harvest data from the Service
- interfere with the Service’s operation, security, or availability
- upload malware or attempt to exploit vulnerabilities
- misuse bid information, documents, or contacts for unlawful purposes
We may suspend or terminate access for violations or for security reasons.
6) Listings, Documents, and Information Disclaimer
The Service may include bid listings, schedules, documents, addenda, and other project information.
IMPORTANT:
- Information is provided for convenience and coordination only.
- Bid details, requirements, due dates, and addenda may change.
- You are responsible for verifying all information through official sources and project documents.
- Caliagua does not guarantee that listings or documents are complete, current, error-free, or suitable for any specific purpose.
7) Document Use and Restrictions
Unless otherwise stated:
- Caliagua and/or its licensors own the Service and its underlying content and systems.
- Project documents and materials made available through the Service are provided solely for your internal business use in connection with bidding or project coordination.
- You may not redistribute, republish, or disclose documents to third parties except as permitted by law or by the document owner’s terms.
8) Communications
The Service may send you emails related to the operation and use of your account. All emails we send are transactional or service-related and may include:
- login verification codes (OTPs)
- security notices and alerts
- updates to these Terms or the Privacy Policy
- listing notifications and document update notifications you choose to receive (for example, by subscribing or unsubscribing within the Service)
You may manage subscription-based notification preferences using the notification controls available in the Service or by contacting IT@caliagua.net. Transactional emails required for the operation of the Service (such as login codes and security notices) cannot be opted out of while your account is active. If you do not wish to receive required transactional emails, you must deactivate or close your account.
9) Suspension and Termination
Caliagua may suspend, restrict, or terminate your access at any time if we reasonably believe:
- your account is compromised
- you violated these Terms
- your use creates security, legal, or operational risk
- your company is no longer approved to access the Service
10) Disclaimer of Warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Caliagua disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11) Limitation of Liability
To the maximum extent permitted by law:
- Caliagua will not be liable for indirect, incidental, special, consequential, or punitive damages
- Caliagua will not be liable for lost profits, lost revenue, lost bids, project delays, or business interruption
- Caliagua’s total liability relating to the Service will not exceed $100 or the amount you paid to use the Service in the prior 12 months (whichever is greater). (If the Service is free, $100 applies.)
Some jurisdictions do not allow certain limitations; those limitations apply to the extent permitted.
12) Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in California, unless otherwise required by law.
13) Indemnification
You agree to indemnify, defend, and hold harmless Caliagua Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use or misuse of the Service
- your violation of these Terms
- your mishandling or unauthorized disclosure of bid documents, project information, or other materials accessed through the Service
- your infringement of any third-party rights in connection with your use of the Service
14) No Assignment
You may not assign or transfer your account or any rights or obligations under these Terms without Caliagua’s prior written consent. Caliagua may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets without restriction. Any attempted assignment in violation of this section is void.
15) Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
16) Waiver
The failure of Caliagua to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Caliagua.
17) Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Caliagua regarding your use of the Service and supersede any prior or contemporaneous agreements, communications, or proposals relating to the Service.
18) Changes to Terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the updated Terms.
